1. Acceptance of this Agreement
This EquiWorld User License Agreement ("Agreement") is a legal agreement between you ("you," "your," or "User") and EquiWorld ("EquiWorld," "we," "us," or "our") governing your access to and use of the EquiWorld mobile application, website, software, services, content, and related functionality (collectively, the "Service").
By downloading, installing, accessing, or using the Service, or by selecting an option indicating that you accept this Agreement, you agree to be bound by this Agreement and our Privacy Policy.
If you do not agree to this Agreement, do not download, install, access, or use the Service.
If you are accepting this Agreement on behalf of an organization or other legal entity, you represent and warrant that you have authority to bind that organization or entity.
2. License Grant
Subject to your compliance with this Agreement, EquiWorld grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your lawful personal or authorized business purposes.
This license does not transfer ownership of the Service or any intellectual property rights to you.
Except as expressly permitted by this Agreement or applicable law, you may not:
- copy, reproduce, distribute, sell, lease, rent, sublicense, or otherwise exploit the Service;
- modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive source code from the Service;
- remove or alter copyright, trademark, proprietary, or other notices;
- use the Service to build or operate a competing product or service;
- use automated systems to access or extract information from the Service except where expressly authorized;
- interfere with or disrupt the Service or its infrastructure;
- circumvent security, access controls, or usage limitations; or
- use the Service in violation of applicable law or regulation.
3. Eligibility and Account
You are responsible for providing accurate information when creating or maintaining an account and for keeping your account credentials confidential.
You are responsible for activity occurring through your account unless the activity resulted from unauthorized access not caused by your failure to reasonably protect your credentials.
You must promptly notify EquiWorld if you believe your account has been compromised or used without authorization.
4. Permitted Use
You agree to use EquiWorld only for legitimate purposes and in accordance with this Agreement, applicable laws, regulations, Apple's applicable App Store terms and policies, and any additional rules or policies communicated through the Service.
You may not use EquiWorld to:
- violate another person's rights;
- impersonate another person or entity;
- upload malicious software or harmful code;
- attempt unauthorized access to accounts, systems, or data;
- harass, threaten, abuse, or defraud others;
- transmit unlawful, fraudulent, defamatory, abusive, sexually explicit, hateful, violent, or infringing material;
- interfere with another user's access to the Service;
- engage in activity that could reasonably harm EquiWorld, its users, or third-party service providers; or
- circumvent any content, safety, moderation, reporting, blocking, or access-control mechanisms.
You are solely responsible for the content and conduct associated with your use of the Service.
5. User Content and User-Generated Content
The Service allows users to submit, upload, create, store, transmit, post, display, or otherwise make available information, text, images, photographs, videos, files, comments, data, profiles, and other materials ("User Content").
You retain ownership of User Content that you own.
By submitting or posting User Content through the Service, you grant EquiWorld a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, distribute, modify as technically necessary for the Service, and otherwise use that User Content solely as reasonably necessary to operate, maintain, secure, provide, moderate, and improve the Service and to perform our obligations under this Agreement.
You represent and warrant that:
- you own or have the necessary rights and permissions to provide the User Content;
- providing or posting the User Content does not violate any law or third-party rights;
- the User Content does not contain material that you are prohibited from sharing; and
- you will comply with applicable laws and the rights of other users.
You remain responsible for your User Content.
EquiWorld may review, moderate, restrict, remove, disable access to, or refuse to publish User Content when we reasonably believe it violates this Agreement, applicable law, Apple's applicable App Store requirements, or the rights or safety of users or others.
EquiWorld may also suspend or terminate accounts associated with prohibited, abusive, fraudulent, or otherwise harmful activity.
Where the Service provides reporting, blocking, moderation, or other safety functionality, users agree to use those mechanisms appropriately and not to abuse them.
6. Intellectual Property
The Service and all associated software, technology, designs, interfaces, trademarks, logos, graphics, text, databases, documentation, and other materials provided by EquiWorld ("EquiWorld Content") are owned by or licensed to EquiWorld and are protected by applicable intellectual-property and other laws.
Except for the limited license expressly granted in this Agreement, no ownership or other intellectual-property rights are granted to you.
EquiWorld and its associated names, logos, designs, and trademarks are trademarks or service marks of EquiWorld or their respective owners. You may not use them without prior written permission.
7. Third-Party Services
The Service may integrate with or rely upon third-party services, platforms, APIs, software, data providers, payment processors, authentication providers, hosting providers, analytics providers, or other third-party technologies.
Your use of third-party services may be subject to the applicable third party's separate terms and policies.
EquiWorld is not responsible for third-party services that it does not control, except to the extent required by applicable law.
8. Availability and Changes to the Service
We may modify, update, suspend, or discontinue portions of the Service from time to time.
We do not guarantee that the Service will always be available, uninterrupted, error-free, or compatible with every device or operating system.
We may release updates, patches, or new versions of the Service. Some updates may be required for continued use of certain functionality.
9. Fees, Subscriptions, and In-App Purchases
Certain features or services may require payment, including subscriptions and in-app purchases.
Pricing, subscription duration, renewal terms, cancellation terms, trial periods, and other purchase conditions will be presented to you before purchase.
Where purchases are made through Apple's App Store, payment, subscription management, billing, renewal, and certain refund-related matters are handled through Apple in accordance with Apple's applicable terms and policies.
Subscriptions may automatically renew unless canceled in accordance with the applicable App Store settings and terms.
You are responsible for reviewing the purchase terms presented to you before completing a transaction.
10. Apple App Store Terms
If you downloaded the Service through Apple's App Store, you acknowledge that this Agreement is between you and EquiWorld and not between you and Apple.
Your use of the Service must comply with Apple's applicable App Store terms, conditions, policies, and rules.
Apple is not responsible for the Service or its content and has no obligation to provide maintenance or support services for the Service except as required under applicable law.
Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.
To the extent applicable, any terms in Apple's App Store rules concerning acceptable use, subscriptions, purchases, refunds, account management, content, privacy, and platform requirements also apply to your use of the Service.
11. Privacy
Your use of the Service is also subject to the EquiWorld Privacy Policy.
The Privacy Policy describes the information EquiWorld collects, how that information is used and shared, retention and deletion practices, and applicable privacy rights.

12. Security
We take reasonable measures designed to protect the Service and information processed through it. However, no system or method of transmission over the internet can be guaranteed to be completely secure.
You are responsible for maintaining appropriate security of your devices, accounts, credentials, and information.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND EQUIWORLD CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUIWORLD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
EQUIWORLD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUIWORLD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUIWORLD'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EQUIWORLD FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW AND DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
15. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EquiWorld and its officers, directors, employees, affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your violation of this Agreement;
- your misuse of the Service;
- your User Content; or
- your violation of applicable law or the rights of another person or entity.
16. Suspension and Termination
You may stop using the Service at any time.
EquiWorld may suspend or terminate your access to the Service if we reasonably believe that you have violated this Agreement, applicable law, Apple's applicable requirements, or the rights or safety of EquiWorld or another person.
We may also suspend access where reasonably necessary to address security, fraud, technical, moderation, content-safety, or operational concerns.
Upon termination, the rights granted to you under this Agreement will terminate, except for provisions that by their nature should survive termination.
17. Changes to this Agreement
We may update this Agreement from time to time.
When we make material changes, we may provide notice through the Service, by email, or through another reasonable method.
The updated Agreement will identify a new version and effective date.
Where applicable law requires your affirmative acceptance of a revised Agreement, continued use of the Service will not constitute acceptance until that acceptance is obtained.
If you do not agree to a revised Agreement, you must stop using the Service.
18. Governing Law and Disputes
This Agreement will be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.
Any dispute arising out of or relating to this Agreement or the Service will be resolved in the courts located in Delaware, United States, unless applicable law requires a different forum.
Nothing in this section limits rights or remedies that cannot legally be waived.
19. General Terms
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect.
The failure to enforce any provision of this Agreement is not a waiver of the right to enforce that provision later.
You may not assign or transfer your rights or obligations under this Agreement without our prior written consent, except where permitted by applicable law.
EquiWorld may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.
This Agreement, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitutes the agreement between you and EquiWorld regarding your use of the Service.

Apple is not responsible for the Service or its content and has no obligation to provide maintenance or support services for the Service except as required under applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EQUIWORLD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUIWORLD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

We may also suspend access where reasonably necessary to address security, fraud, technical, moderation, content-safety, or operational concerns.
Upon termination, the rights granted to you under this Agreement will terminate, except for provisions that by their nature should survive termination.
